3. Client Responsibilities

- Provide accurate, timely, and complete information.
- Respond promptly to inquiries.
- Grant necessary access to relevant systems and data.
- Ensure data accuracy and completeness.
3.2 Cooperation
- Assign a primary contact.
- Participate actively in meetings and training sessions.
- Provide prompt feedback on deliverables.
4. Data and Privacy

- All client data is confidential.
- Industry-standard security measures are implemented.
- Client data is not shared without consent.
4.2 Privacy Protection
- Compliance with applicable data protection laws.

5. Payment Terms
5.1 Fees
- Fees align with selected service packages or custom quotes.
- Payments due monthly, upfront on the 1st.
- Late payments incur a 5% monthly penalty.
5.2 Refunds
- All payments for services provided by MagicAiFlow LLC are non-refundable.
- No refunds or credits for partial months, unused services, or cancellations.
6. Intellectual Property
6.1 Ownership
- Clients retain ownership of their data.
- MagicAiFlow retains rights to proprietary tools and systems.
- Custom solutions are licensed, not sold, to the client.
6.2 Usage Rights
- MagicAiFlow licenses custom-developed solutions to clients.
- No transfer of underlying technology ownership.
- We reserve limited rights for promotional or portfolio use.
7. Termination
7.1 Termination Rights
- Either party may terminate with 30-day written notice.
- Immediate termination allowed upon breach of terms.
- Payment for completed work required upon termination.
7.2 Post-Termination
- Orderly transition of services.
- Client materials returned upon request.
- All access rights revoked post-termination.
8. Limitation of Liability
- Liability limited to the total fees paid by the client.
- No liability for indirect or consequential damages.
9. Modifications
MagicAiFlow reserves the right to modify these Terms with 30 days’ prior notice.
